Substantial completion
Substantial completion is the point when work is complete enough that the owner can occupy or use the project for its intended purpose, even if minor items remain.
A project can be substantially complete with a punch list still open: touch-ups, adjustments, a missing piece of trim. What matters is whether the owner can use it for what it was built for.
The date matters because contracts and laws hang deadlines on it. Depending on the contract and the state, substantial completion may start warranty periods, trigger release of most retainage, stop liquidated damages for delay, shift utilities and insurance to the owner, and start the clock on lien deadlines or on the time limits for bringing claims about the work.
On commercial jobs, the architect usually inspects and issues a certificate of substantial completion with the punch list attached. On residential jobs, a certificate of occupancy, a final inspection or a signed walk-through often serves the same purpose.
Put the date in writing and have the client sign it. If it’s ever disputed, the paperwork will matter more than anyone’s memory.
